Service Agreement

This Service Agreement is between Vanttax LLC, 30 N Gould Street, Sheridan, Wyoming, United States (“Vanttax”) and the client who accepts it in the client area by ticking the box and typing their full name. Acceptance is stored with the time, the IP address and the version of this text. It is a template for counsel. It is not itself legal or tax advice.

Services

The formation package and the annual maintenance package are the packages described on the service page at the time of purchase. The description, the inclusions, the exclusions and the prices are the ones stored in the Vanttax catalogue and shown before payment. They are not restated here as a second price list.

• Formation covers formation of the company, the EIN, the registered agent for the first year, an operating agreement, and guidance to help open bank accounts.
• From year 2, annual maintenance covers registered-agent renewal, the state annual report, deadline reminders, and a Form 5472 guide and template.
• Maintenance is billed automatically 100 days before each formation anniversary, and then on that same date each year.

No legal or tax advice

Vanttax does not give legal advice or tax advice. Vanttax is not a law firm, a tax adviser, a bank or a broker. Nothing in the service is an opinion on the client’s tax position, and nothing is a prepared tax return.

The client’s information and filings

The client is responsible for the accuracy of every name, address, date, nationality, ownership percentage and other fact submitted. The client is responsible for filing Form 5472, where it applies, and for the client’s own taxes. The guide and the worksheet help the client gather information. Vanttax does not prepare or file Form 5472. If the client records an intention to file Form 7004, that record is not a filing.

Communications contact

The client must keep the Wyoming communications contact current: a natural person, a physical address and a telephone number. The client must tell Vanttax when it changes.

Address and mail

The client must not file a USPS change of address that sends mail to the company address Vanttax provides. Ordinary mail handled under the service is limited to five pieces a year. Parcels are not accepted.

Maintenance, the registered agent and good standing

If the client does not pay annual maintenance, Vanttax cancels the registered agent. The company can then lose good standing. Vanttax will give the notices described in the service before that cancellation. Those notices do not extend the time for payment.

Bank accounts

Guidance to help open a bank account is not a guarantee that any bank will open an account, keep it open, or accept the client. The bank makes that decision.

Indemnity

The client indemnifies Vanttax, and the people who work on the engagement, against claims, losses, costs and expenses arising from false, incomplete or misleading data, or from misuse of the company, the address, the mail service or the account.

Term and records

The formation engagement begins when payment is received. Annual maintenance begins with the first successful maintenance charge and renews on the charge date unless it is cancelled for non-payment or the client asks in writing to stop before the next charge is created. Governing law

This agreement is intended to be governed by the law of [JURISDICTION], without prejudice to mandatory rights that apply in the client’s country of residence. [REVIEW WITH LAWYER]
